    VHD to OVA ?
    VHD is a disk image format - while OVA is a VMware format for tar-archives.
    Try Starwind V2V converter - that can convert VHD to VMDK.
    Then you can add that vmdk to a new VM - and the final result = vmdk + vmx file can then be bundled as a OVA with the VMware OVF-tool
