I assume you are talking about the free ESXi version. In this case you may want to take a look at e.g. ghettoVCB as a backup solution. However, a VM created in ESXi 4.1 may not run in ESXi 3.5 without manual modifications. This depends on the virtual hardware version you selected when you created the VM. ESXi 3.5 is only able to run VMs with HW version 4, ESXi 4.x uses HW version 7 by default.

First of all you really should be upgrading your 3.5 server so that the time to get your virtual servers back up and running is kept to a minimum.  As mentioned, the virtual hardware versions are different and it will just cause you unnecessary pain getting them to work.

In terms of backups, I suggest you look at products like Veaam.  It's an awesome backup tool that would have you up and running in no time at all.  You can even set it to replicate a copy of the guest to the other host just in case you suffer a total loss.

    I hope this helps

OK the util that is free can be found here:

    http://www.veeam.com/vmware-esxi-fastscp.html

In terms of upgrading your current 3.5 host you can use the host upgrade utility that installs when you install your infrastructure client (from esxi 3.5).

I think your 3.5 needs to be on update 5 at least.  After that it is a straight upgrade from 3.5 to 4.1.
